
Terms & Conditions
1. Scope of Application
1.1 These Terms and Conditions (T&Cs) govern the contractual relationship between Contra MEP (referred to as "we," "us," or "our") and our clients (referred to as "you" or "your") regarding all services provided by us, including consulting, planning, and project management in the mechanical, electrical, and plumbing (MEP) sector.
1.2 By engaging our services, you agree to these T&Cs. Any deviating terms and conditions from the client will not be recognized unless explicitly agreed upon in writing.
2. Services Provided
2.1 Scope of Services: We provide consulting, design, and project management services as outlined in the specific agreement with each client.
2.2 Changes to Scope: Any changes or additions to the agreed scope of services must be confirmed in writing by both parties.
2.3 Subcontracting: We reserve the right to subcontract certain parts of our services to qualified third parties.
3. Offers and Contracts
3.1 Non-Binding Offers: All offers provided by Contra MEP are non-binding unless expressly stated otherwise.
3.2 Contract Formation: A binding contract is formed when we confirm your acceptance of our offer in writing or by commencing work.
3.3 Validity: Offers are valid for 30 days from the date of issue, unless otherwise specified.
4. Fees and Payment Terms
4.1 Fees: The agreed fees for our services are outlined in the contract or project proposal.
4.2 Additional Costs: Any additional expenses, such as travel or third-party costs, will be charged separately and require prior client approval.
4.3 Payment Terms: Invoices are payable within 14 days of issuance, unless otherwise agreed. Late payments may incur interest at the rate of 1.5% per month.
4.4 Taxes: All fees are exclusive of applicable taxes, including VAT, which will be charged as required by law.
5. Client Obligations
5.1 Information and Cooperation: You are required to provide all necessary information, documents, and access needed to perform our services in a timely manner.
5.2 Approvals: You are responsible for obtaining all necessary approvals and permits related to the project.
5.3 Delays: Any delays caused by the client’s failure to fulfill obligations may result in additional costs and timeline adjustments.
6. Liability
6.1 Limitation of Liability: We are liable for damages only in cases of gross negligence or intentional misconduct. Our liability is limited to the amount of fees paid for the specific project in question.
6.2 Exclusions: We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits or business interruptions.
6.3 Third Parties: We are not responsible for the performance of third-party contractors or suppliers engaged by the client.
7. Termination
7.1 By the Client: You may terminate the contract at any time upon providing written notice. Any work completed up to the date of termination will be invoiced.
7.2 By Contra MEP: We may terminate the contract if the client fails to fulfill obligations or breaches the terms of the agreement.
7.3 Consequences of Termination: Upon termination, all work delivered up to that point must be paid for in full.
8. Confidentiality
8.1 Confidential Information: Both parties agree to treat all information shared during the course of the project as confidential.
8.2 Exceptions: Confidentiality does not apply to information that is publicly available or required to be disclosed by law.
9. Intellectual Property
9.1 Ownership: All designs, plans, and documents created by Contra MEP remain our intellectual property until full payment is received.
9.2 License: Upon full payment, the client receives a non-exclusive license to use the materials solely for the agreed project.
10. Force Majeure
We are not liable for delays or non-performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, or labor disputes.
11. Governing Law and Jurisdiction
11.1 Applicable Law: These T&Cs and all agreements are governed by the laws of the United Arab Emirates (UAE).
11.2 Jurisdiction: Any disputes arising from these T&Cs shall be subject to the exclusive jurisdiction of the courts in Dubai, UAE.
12. Miscellaneous
12.1 Entire Agreement: These T&Cs, along with any written agreement, constitute the entire agreement between the parties.
12.2 Severability: If any provision of these T&Cs is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Amendments: Any changes to these T&Cs must be made in writing and signed by both parties.
